ICTSI finalizes Brazil logistics takeover with CRAGEA
The São Paulo-based company provides bonded warehousing and multimodal logistics services.
International Container Terminal Services Inc. (ICTSI) has completed the acquisition of a 100% interest in Companhia Regional de Armazéns Gerais e Entreposto Aduaneira (CRAGEA), according to a bourse filing on 9 July.
CRAGEA is a São Paulo-based company providing warehousing and multimodal logistics services.
The port operator disclosed the acquisition in a separate bourse filing on 3 June, with the transaction completed through its wholly owned subsidiary, IRB Holding Ltda.
It said all conditions precedent to closing, including required regulatory approvals, have been satisfied.
The acquisition expands ICTSI’s business activities in Brazil by adding warehousing and multimodal logistics services alongside its port operations.
ICTSI said the transaction supports solutions aimed at increasing operational and energy efficiency through the use of rail as a preferred transport mode.
It added that the transaction aims to mitigate logistical bottlenecks, expand the hinterland of its port assets, and offer alternatives for foreign trade customers.
The consideration for the acquisition, which will be paid in cash, was negotiated at a value below 10% of its total consolidated shareholders’ equity as of 31 December 2025 and 31 March 2026.
“The transaction is not deemed to have a material impact on the Company’s financials in the immediate future,” ICTSI said.
